Welcome to Kept Books. These terms are the agreement between you and Kept AI, Inc., doing business as Kept Books (“Kept”, “we”, “us”). By creating an account or using the product you agree to them. If you don't, please don't use the product.
The service
Kept is bookkeeping software for small businesses. It connects to your bank, categorises transactions, helps you manage vendors and customers, and prepares year-end tax records. It does not provide tax advice or replace a CPA. Kept is offered only to businesses in the United States.
AI features
Kept uses AI to categorise transactions, answer questions, and generate reports and summaries. AI can be wrong or incomplete. You are responsible for reviewing anything the AI produces before you rely on it, file taxes, or make a financial decision. Kept's AI output is not tax, legal, accounting, or financial advice, and using Kept does not create an accountant-client or advisor relationship. For decisions that matter, confirm with a qualified professional.
Your account
- You must be at least 18 years old and have authority to bind your business.
- Keep your password secret. You're responsible for activity under your account.
- Tell us right away if you suspect unauthorized access at support@keptbooks.co.
- One account per person. Sharing logins is not allowed; invite teammates as team members instead.
Paid plans and refunds
- Paid plans renew automatically at the end of each billing period until cancelled.
- Cancel at any time in Settings → Billing. Cancellation takes effect at the end of the current period.
- Refunds on monthly plans are at our discretion, and a refund covers the whole charge, add-ons included. We always refund obvious billing errors. To ask for one, use Help Center → Contact → “Request a refund” inside Kept, or keptbooks.co/refund if your account is closed. You can also email support@keptbooks.co.
- Pricing may change. We'll email you at least 30 days before any price change affects you.
Your data, your responsibility
- You own the data you put into Kept. We're a processor; you're the controller.
- You're responsible for the accuracy of what you enter (including vendor info you submit on someone else's behalf).
- You're responsible for your own tax filings. Kept's reports and 1099 prep are starting points, not professional advice.
- Back up critical data outside Kept (we provide an Export tool in Settings).
- We do not verify the accuracy or completeness of the information you provide or that your bank sends us. You must review every report, calculation, and document Kept generates before you rely on it or file it. We are not responsible for any tax, fine, penalty, interest, or other liability that results from inaccurate, incomplete, or late information, or from a filing you make using Kept's reports.
AI features and accuracy
- Kept uses AI to categorize transactions, answer questions, draft documents, and generate reports. AI can make mistakes, miss context, and produce incomplete or inaccurate results.
- You are the human in the loop. Your edits and corrections help train and improve the AI for your account, and you are responsible for reviewing AI output before you rely on it, send it, file it, or share it.
- AI output is informational only and is not accounting, tax, legal, or financial advice. Always review it, and consult a qualified professional for decisions that matter.
Invoices, estimates, and other customer-facing documents
- Kept lets you send invoices, estimates, payment reminders, and information requests (like W-9 forms) to your customers and vendors. You are the issuer of those documents and the party to those transactions, not Kept.
- Kept is not a party to any transaction between you and your customers, does not guarantee payment, and is not responsible for the goods or services you bill for. Disputes about a transaction are between you and your customer.
- Payments your customers make through Kept are processed by our payment processor, and you are the merchant of record for them. Any refund, chargeback, reversal, failed bank (ACH) payment, or payment dispute is between you and your customer and is your responsibility, not Kept's. You authorize Kept and its payment processor to pass through related processing fees and to recover or offset amounts owed as a result.
- You're responsible for the contents of every document you send through Kept being accurate, lawful, and authorized, including any custom footer text you add.
- Customer-facing documents and pages display a “Powered by Kept Books” line identifying Kept as the software provider. This identifies the platform; it does not make Kept the sender or a party to the transaction.
Accountants and referral partners
- If you join Kept through an accountant's invite, or accept an accountant's invite, that accountant can see and work on your books until you remove them.
- The accountant may earn a fee from Kept for a business that joins Kept through their invite. You pay the same price either way.
- You can remove your accountant at any time in Settings, Users, Accountant. Their access ends right away.
- Accountants who use Kept for their clients also agree to the Accountant Terms.
Acceptable use
Don't do any of this:
- Probe, scan, or test the security of the product without our written permission. Security research is welcome. Coordinate at support@keptbooks.co.
- Submit data that infringes someone else's rights, or that is illegal in your jurisdiction.
- Use Kept to launder money, evade taxes, or commit fraud.
- Resell access to Kept without a written agreement with us.
- Scrape, mass-download, or build a competing product on top of our API or output.
We can suspend or terminate accounts that violate these rules. We'll tell you why and (when feasible) give you a chance to fix it first.
Third-party services
Kept relies on outside providers for bank connections, subscription and invoice payments, AI features, and hosting, storage and email. When you set up payments or connect a bank, our providers' terms also apply, and you see them when you set it up. Downtime at any of these providers affects ours.
If you connect Kept Books to a chat app such as Claude or ChatGPT, that app's own terms also apply, and what it writes in the chat is its own, not Kept's. Kept makes a change from the chat only when you tap the button on a Kept card, and you are responsible for the changes you tap, as you are for the ones you make in Kept.
Intellectual property
- We own Kept and everything we build. You own your data and your business's books.
- You grant us a license to host, display, and process your data only to operate the product.
- If you give us feedback or suggestions, we may use them without owing you anything.
Warranty disclaimer
Kept is provided “as is.” We don't warrant that it will be uninterrupted, bug-free, or sufficient for your tax compliance needs. Bookkeeping software is a tool. It doesn't replace professional judgment.
Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim related to Kept is limited to the greater of $100 or the amount you paid us in the 12 months before the claim. We're not liable for indirect, incidental, or consequential damages such as lost profits, lost data, or missed deadlines.
Indemnity
You'll defend and indemnify us against third-party claims arising from your use of Kept in violation of these terms, your data, or applicable law.
Termination
- You can delete your account at any time in Settings. The 30-day grace lets you reverse it; permanent purge follows.
- We can terminate accounts for violations of these terms, non-payment, or if we shut down the service. We'll give you reasonable notice when feasible.
- The provisions that should survive termination (data ownership, IP, liability, indemnity, governing law) survive.
Disputes, arbitration, and class action waiver
Please read this section carefully. It affects how disputes between you and Kept are resolved, and it limits your right to go to court.
Governing law. These terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws rules.
Talk to us first. Before starting an arbitration, you agree to email support@keptbooks.co describing the dispute and give us 30 days to resolve it informally. Most issues end here.
Binding arbitration. If we can't resolve it, you and Kept agree that any dispute arising out of or relating to these terms or your use of Kept will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section. The arbitrator's decision is final and may be entered as a judgment in any court with jurisdiction.
Who decides what is arbitrable. The arbitrator, not a court, decides all questions about whether a dispute is covered by this section, including any claim that this arbitration agreement is unenforceable.
No class actions. You and Kept agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not preside over claims of more than one person.
Coordinated or mass filings. If 25 or more similar arbitration demands are filed by or with the help of the same or coordinated lawyers, you agree they will be administered in sequential batches of up to 100 demands at a time, with the statute of limitations tolled for any demand awaiting its batch, until all are resolved.
Jury trial waiver. To the extent any dispute proceeds in court despite this section, you and Kept each waive any right to a jury trial.
Exceptions. Either you or Kept may still (a) bring an individual claim in small-claims court, and (b) ask a court for an injunction or other equitable relief to protect intellectual property or stop unauthorized use of the service.
Public injunctive relief. To the extent the law gives you a right to seek public injunctive relief that cannot be waived, that specific claim may be brought in court. It is carved out of arbitration and paused until the arbitration of your individual claims is finished. Nothing in this section waives your right to seek public injunctive relief where the law does not allow that right to be waived.
Severability. If any part of this section is found unenforceable, that part will be removed and the rest will stay in effect. If the “No class actions” waiver is found unenforceable as to a particular claim, only that claim will proceed in court, and the rest of this section still applies to every other claim.
Your right to opt out. You can opt out of this arbitration agreement within 30 days of first accepting these terms by emailing support@keptbooks.co with your account email and the words “arbitration opt-out.” Opting out won't affect any other part of these terms. If you opt out, disputes go to the state or federal courts located in Tennessee, and both sides consent to that jurisdiction.
Survival. This section survives termination of your account and these terms.
Changes to these terms
We'll email you and post a notice in-app at least 14 days before any change. Continued use of Kept after the change means you accept the new terms.
